2. Derechos y obligaciones principales del cliente

a) CUSTOMER

2.1. The CLIENT shall have the right to use the contracted Service(s) in accordance with the General and Specific Conditions agreed upon in each case.

2.2. The CLIENT must use the contracted Service(s) in accordance with the Conditions agreed between the parties, current legislation, and in good faith.

2.3. The CLIENT must be of legal age, that is, over 18 years of age, and fully capable of entering into contracts.

2.4. The CLIENT must pay the agreed consideration for each Service or Services, in the manner and terms contained in the Specific Conditions or Commercial Offer or Commercial Offer and price lists.

2.5. The CLIENT must provide YYOGESTIONO with correct and complete information. The CLIENT is therefore obligated to immediately inform YYOGESTIONO of any changes to the information provided and to confirm them again to YYOGESTIONO, upon request, within 14 calendar days of the date of the change.

Unless otherwise agreed in the Specific Conditions or Commercial Offer, the following information must be provided: Full name, ID number, confirmation that the client is of legal age, address, email address, service provider, payment information (either bank account or debit card), and the name of the account holder. If the CLIENT is a legal entity (company or entity), documentation proving its existence and the authority of its legal representative must also be provided.​

2.6. The CLIENT acknowledges and accepts that it is solely and exclusively responsible for the content included in its website, the information transmitted and stored, its use, the links, the operations carried out on its website and, where applicable, the collection or processing of personal data obtained through it, the claims of third parties and any legal actions that its actions may trigger. Therefore, the CLIENT hereby undertakes and obligates itself to use its website solely for professional, educational and/or entertainment purposes. The CLIENT undertakes to include on its website and other elements through which it has contact with third parties, including links, emails or any other, its Legal Notice, its Privacy Policy and, where applicable, the General or Specific Conditions applicable to said website or instance of electronic communication. In the event that data is collected through the CLIENT's website, the CLIENT agrees to act in accordance with a Privacy Policy published on its website, making public what data is collected and for what purposes it is used, and affirming that all uses of such data are in compliance with applicable law. Additionally, the CLIENT acknowledges and accepts that it is solely and exclusively responsible for compliance with any applicable laws and regulations, which may include, but are not limited to, applicable regulations regarding the protection of personal data, the operation of the online plan, electronic commerce, intellectual property rights, especially copyright (including third-party copyright), maintenance of public order, as well as universal principles of Internet use and good Internet conduct.

3. Additional rights and obligations of the CLIENT

The CLIENT shall refrain from using the Services in a manner contrary to good faith and, in particular, but not limited to:

3.1 The CLIENT agrees to comply with all rules of applicable laws relating to online conduct and acceptable online content and will refrain from using YYOGESTIONO equipment and Services in a manner that infringes the rights of the Parties and third parties.

3.2 The CLIENT agrees and guarantees that their data will not contain or link to any harmful, threatening, violent, abusive, or hateful material. The CLIENT will refrain from publishing or transmitting content that, in YYOGESTIONO's judgment, is violent, obscene, abusive, illegal, xenophobic, defamatory, pornographic, or dangerous to young people, including depictions of sexuality with minors or people who appear to be minors despite their true age.

3.3 The CLIENT agrees that the email address provided by the CLIENT to YYOGESTIONO, as contact information, will be the means of receiving any communication from YYOGESTIONO regarding this contract and the obligations arising from it. Thus, YYOGESTIONO will be deemed to have fulfilled its obligation to inform the CLIENT by sending any relevant communication by email.

3.4 The CLIENT will not use cracks, program serial numbers, or any other content that violates the intellectual property rights of third parties, nor will it use programs to manipulate YYOGESTIONO's web pages, e.g., scripts.

3.5 The CLIENT shall refrain from obtaining and/or using and/or processing personal data of other users without their express consent or in contravention of the provisions of Law 35 of the Cuban Gazette, its Regulations and other applicable provisions regarding the protection of personal data.

3.6 The CLIENT accepts and guarantees that its data and all material transmitted using the YYOGESTIONO Services will be, at all times, free from any type of harmful software defects, including, but not limited to, software "viruses," "worms," "Trojan horses," and other source code anomalies, which may cause software or hardware interruptions or failures, result in reduced computer operating speed, or compromise any security system. The CLIENT agrees that it will not attempt to access the Services, equipment, and website of YYOGESTIONO or another client without authorization, and that it will not use the YYOGESTIONO Services to carry out or assist in the realization of any attack, especially denial-of-service attacks, on any other website or internet service.

3.7 The CLIENT will not use the website to upload files that are not suitable for web hosting purposes, such as, but not limited to, making backups of any kind, storing remote uploads, storing data for file sharing, or similar behavior not directly related to the content and applications of said website.

3.8 The CUSTOMER will not use access to electronic messages stored on a server as a "virtual hard drive," i.e., for file storage, data backups, or in any other way. The email account function may not be used for purposes other than those related to normal email traffic. The CUSTOMER may only use the website for web content and applications. Data backups and data storage not directly related to the website content and applications are also prohibited.

3.9 The CLIENT undertakes to adopt all security measures deemed appropriate or necessary to preserve the confidentiality and secrecy of their Customer ID (Login) and Password for accessing the services provided by YYOGESTIONO, which shall, in all cases, be personal and non-transferable. The CLIENT undertakes to adopt appropriate measures to protect minors from accessing websites and electronic communication channels that are harmful to them.

3.10 THE CLIENT affirmatively represents, agrees and warrants that it has and will at all times have all necessary intellectual property rights, including, but not limited to, all copyrights, trademarks and service mark rights and publicity rights, to promote, reproduce and disseminate its data or content through the direct or indirect use of the YYOGESTIONO Services. The CLIENT acknowledges and agrees that in the event that its domain name or any material on its website infringes the copyright of any person or entity, or violates any person's right of publicity or privacy, or constitutes or gives rise to any other claim or violation of intellectual property rights of any kind, then, the CLIENT will waive any claim that it may have, now and forever, against YYOGESTIONO in relation to the measures taken in response to the claim that it has infringed these rights, and THE CLIENT agrees to indemnify (including reasonable attorneys' fees) and keep YYOGESTIONO harmless with respect to any demand, claim, complaint or action against it arising from the foregoing, and to pay any damages that may be caused to it, YYOGESTIONO being authorized to limit or suspend the use of the Services and/or the CLIENT's page if it deems it necessary and until the situation that generated the possible damage or claim is clarified.

3.11 The CLIENT agrees and warrants that it will not engage in any false, deceptive or fraudulent activity in connection with its use of the YYOGESTIONO Services.

3.12 The CLIENT agrees and warrants that it will at all times use the website space exclusively as conventional website space. The CLIENT will not use the Services and website space in any way that may result in an excessive load on YYOGESTIONO's service, including but not limited to installing or running web proxies, using its allocated space for backup or data storage purposes, duplication, or to mirror massive downloads. The CLIENT will use the website space and its Services in a manner consistent with these Terms and will not affect or jeopardize the functioning and operation of YYOGESTIONO's network. If the CLIENT's use of the Services results in an excessively high load on YYOGESTIONO's equipment, YYOGESTIONO may, at its sole discretion, suspend the CLIENT's account until the cause of such overload is terminated and resolved.

3.13 The CLIENT agrees and warrants that all applicable taxes due will be paid in full by the CLIENT including taxes applicable to all businesses and employees associated with its use of the YYOGESTIONO Services and that no taxing authorities will file claims against YYOGESTIONO for the payment or non-payment of such taxes.

3.14 The CUSTOMER agrees not to use his IMAP account for the storage of files that are not subject to normal email use.

3.15 The CLIENT may not operate a chat room with the YYOGESTIONO Services unless expressly permitted by the General or Specific Conditions of YYOGESTIONO.

3.16 In any case, the CLIENT will not use the website in a way that represents an excessive burden for YYOGESTIONO's equipment or that in any way harms the functioning or operations of YYOGESTIONO's equipment or network.

3.17 THE CLIENT agrees to exempt YYOGESTIONO S.U.R.L. and its affiliates, employees, agents, representatives, contractors and others from liability in compliance with the General Conditions of YYOGESTIONO S.U.R.L. for the use of this product/service.

3.18 YYOGESTIONO may provide the User with access to software, services, or applications ("apps") developed and published by third parties through the "Third Party Applications" functionality included in some of YYOGESTIONO's products, such as the online store. Allowing the CUSTOMER to access third-party applications is merely a convenience for the Customer and does not in any way constitute an endorsement, sponsorship, or any form of association by YYOGESTIONO with those third parties. Developers or publishers are third parties independent of YYOGESTIONO, and YYOGESTIONO has no responsibility nor does it intervene in any way in the relationship between the third party and the CUSTOMER. YYOGESTIONO informs the CUSTOMER that by using third-party applications, the CUSTOMER agrees to the terms and conditions established by the third party itself, and that this agreement does not govern the relationship between the CUSTOMER and the third party. YYOGESTIONO informs the CLIENT that, when using third-party applications, private and/or sensitive information that the CLIENT shares with YYOGESTIONO may be accessible by the third party providing the application, and that YYOGESTIONO is not responsible for any disclosure, modification or deletion of data that may arise from this access.The CLIENT agrees that YYOGESTIONO, its parent companies, subsidiaries and affiliates are in no way responsible for any damages caused by the use of any third-party application and, therefore, will not be liable for any claim or demand that may arise from the use of third-party applications available through the "Third-Party Applications" functionality.

4. Rights and obligations of YYOGESTIONO

4.1 YYOGESTIONO guarantees that the contracted Services will be provided in the manner provided in these General Conditions and, where applicable, as established in the Specific Conditions or Commercial Offer

4.2 Only one YYOGESTIONO fee may be applied to each of the CLIENT's internet domains.

4.3 If the CUSTOMER exceeds the transmission volume included in the rate in any given month, YYOGESTIONO S.U.R.L. reserves the right to invoice the difference between the volume included in the contracted rate and the volume actually consumed at YYOGESTIONO's prices in effect at that time. The foregoing shall not apply if the transmission volume provided for in the contracted rate is unlimited.

4.4 YYOGESTIONO S.U.R.L. reserves the right to transfer the client to servers more appropriate for the use made by the client at that time and in such case, the client accepts that during the transfer the service may be occasionally unavailable for technical reasons.

4.5 YYOGESTIONO offers a guarantee of operation of the Services that entitles the CLIENT to receive a full or partial refund of the fees paid in the event that the total availability of the web pages hosted by YYOGESTIONO S.U.R.L.a is less than 99.99%.

4.6 If the CLIENT demonstrates to YYOGESTIONO that the total availability of the hosted pages is lower than the aforementioned reference, the CLIENT may contact YYOGESTIONO to request a fee credit for that month proportional to the period of unavailability. This credit will be allocated to the future purchase of YYOGESTIONO Services. Credits are not redeemable for cash and are not subject to any applicable taxes.

4.7 Credits will not apply to interruptions caused by (i) scheduled periodic maintenance or repairs carried out from time to time by YYOGESTIONO (ii) unavailability caused by the CLIENT; (iii) availability incidents that do not limit browser access to the CLIENT's website (for example, interruptions to FTP or email service); (iv) suspension of the CLIENT's account due to legal action taken or announced against the CLIENT or its services; (v) suspension of the CLIENT's account due to violations of the General Terms and Conditions of Contract, such as, but not limited to, excessive use of system resources, non-payment or payment incidents, or identification of fraudulent behavior or violations of the General Terms and Conditions of Contract; or (vi) causes beyond the control of YYOGESTIONO or that are not reasonably foreseeable by YYOGESTIONO.

4.8 YYOGESTIONO may temporarily limit or interrupt the CLIENT's access to its services when necessary for the security of the network service, the maintenance of the integrity of the network and, especially, to avoid serious interruptions of the network, software or stored data.

4.9 Such interruptions will be communicated, to the extent possible, with sufficient notice to the CUSTOMER by means of yyogestiono.com or via email. The above obligation will not be enforceable against YYOGESTIONO in the event of an act of God or force majeure, or if the data network used to provide the service fails beyond its control.

YYOGESTIONO S.U.R.L. reserves the right to permanently cancel the aforementioned access if the CLIENT seriously breaches its obligations. For these purposes, serious breaches are those referred to in Article 3 and sections 2.3-2.6 of these General Conditions.

4.11 YYOGESTIONO is not responsible for:

a) The content hosted in the space assigned to the user by the service;

b) Damage due to a virus infection originating from your equipment;

c) Errors caused by access providers;

d) Any illegitimate interference by a third party;

e) Faulty configuration by the CUSTOMER.

4.11 YYOGESTIONO may assign the rights and obligations contained in these General Conditions to one or more third parties. In this case, the CUSTOMER may terminate the contract immediately.

4.12 YYOGESTIONO will freely choose the technical means, which may be related to technology and/or infrastructure, in order to facilitate the provision of the services provided.

4.13 YYOGESTIONO shall not be liable for any damages of any kind that may be caused to a third party or to the CLIENT as a result of the improper or illegitimate use of the Services by the CLIENT.

4.14 Any claim from the CUSTOMER to YYOGESTIONO must be submitted in writing by email. The CUSTOMER must include their ID, full name, address, email address, and phone number, as well as the service provider's name. Claims for defects or interruptions not notified in a timely manner are excluded.

4.15 The claim must be addressed to the following email: [email protected]

4.16 After notifying YYOGESTIONO of the defects and interruptions that are the subject of the claim, the CUSTOMER will grant YYOGESTIONO a period of 7 days to restore the service to its proper functioning. During this period, the CUSTOMER may not take any action against YYOGESTIONO or terminate the contract due to such defects or interruptions.

4.17 YYOGESTIONO shall in all cases be liable for damages that are a direct and immediate consequence of a breach of contract resulting from the wilful or grossly negligent conduct of YYOGESTIONO or any of the persons employed by YYOGESTIONO S.U.R.L. to fulfill its obligations. If the breach of contract is not wilful or grossly negligent, YYOGESTIONO's liability shall be limited to the amount of damages foreseen or that could have been foreseen at the time of entering into the contract.

4.18 In any case, and unless otherwise required by law, the quantification of the aforementioned liability shall be limited to the consideration actually paid by the CLIENT to YYOGESTIONO for the contracted Services, as a maximum.

5. Rates and payment methods

5.1 The prices and currency type are those defined in the commercial offer and budget sent to the CLIENT.

5.2 YYOGESTIONO may increase the amount of the fees no more than once per calendar quarter.

5.3 If there is a change in the taxes applicable to the agreed services, YYOGESTIONO may adjust its prices accordingly.

5.4 Invoices will be issued and sent to the CLIENT by email or paper delivery. The CLIENT agrees to the use of email as the applicable method for receiving invoices generated for the provision of the Services.

5.5 Depending on the service provided and the payment method provided by YYOGESTIONO, payment of invoices will be charged to the card number or bank account provided by the CUSTOMER. The CUSTOMER expressly authorizes YYOGESTIONO to charge their card or bank account for all invoices issued during the entire term of the contractual relationship until further notice.

5.6 In the event of non-payment of the invoice, the CLIENT shall pay the costs related to the steps taken to request payment, as well as the amount of the bank receipt refund and all other costs that will accrue for said reason attributable to the CLIENT, including fees and expenses of YYOGESTIONO's lawyers.

5.7 YYOGESTIONO S.U.R.L. reserves the right to suspend the Services provided in the event of any incident in the collection of the same and/or due to non-payment. If the CLIENT does not pay for the Services within 10 calendar days following the invoicing of the Service, YYOGESTIONO may immediately suspend the same and simultaneously proceed to collect the amounts owed, and may subsequently terminate the contract with the CLIENT for breach of contract.

6.Celebration and duration of the contract

6.1 After acceptance of this contract, or signature by any means thereof, or acceptance by the CLIENT of the commercial offer sent by YYOGESTIONO, YYOGESTIONO may accept the contract request within a period of 7 days. YYOGESTIONO will make these General Conditions, to which the contract will be subject, available to the CLIENT so that they may be stored and reproduced by the CLIENT. Following the aforementioned request or application by the CLIENT, YYOGESTIONO will confirm the contract by sending a welcome email to the CLIENT informing them of the activation of the contracted services and their details.

6.2 Unless otherwise agreed, the contract shall be valid indefinitely.

6.3 If the contract is signed for a specific period or a minimum validity period has been agreed upon with the CLIENT, it will be extended in each case for the agreed period or for the minimum period, provided that it is not waived thirty calendar days before the agreed period or the end of the minimum period. The provisions of this clause shall apply unless otherwise agreed in the Specific Conditions or Commercial Offer.

7. Termination of contract

7.1 Any contractual relationship between YYOGESTIONO and the CLIENT that has not been established for a specific period may be terminated by either party at any time without providing any justification. Such termination will take effect on the last day of the month following the month in which the other party is notified of the termination.

7.2 The CUSTOMER may terminate his/her contract up to thirty calendar days before the minimum permanence period to which the offered service is subject has elapsed.

7.3 The CLIENT can contact YYOGESTIONO through the contact page ( https://yyogestiono.com ),through which you can request the cancellation of the entire contract or any of the services associated with it.

7.4 If the CUSTOMER requests additional services to the contract, the period initially agreed upon in the contract will apply. Additional services may be waived separately, according to the waiver regulations indicated, but the contract will otherwise remain in effect.

7.5 In the event of non-compliance with any of the obligations indicated in these General Conditions and Specific Conditions or Commercial Offer applicable to the service provided, including but not limited to sections 2.3, 2.4, 2.5, 2.6 and the obligations in article 3, YYOGESTIONO shall have the right to terminate the contract with the CLIENT without the latter having any right to any claim or compensation. Likewise, YYOGESTIONO shall have the right to interrupt the total or partial provision of the service and, where appropriate, to its subsequent cancellation, to block public access to the contracted Services by the CLIENT, remove content from the CLIENT's website that YYOGESTIONO deems to be in violation of these General Conditions and Specific Conditions. After the contract has been terminated, the CUSTOMER will no longer have access to their data and content, e.g., their emails, log files, databases, and other files on their website and email account information. YYOGESTIONO assumes no liability for this deleted data and content.
